User Agreement

PLEASE READ THIS USER AGREEMENT CAREFULLY. BY USING THE WEBSITE WWW.MKH.RU, YOU THEREBY JOIN THE USER AGREEMENT AS A USER AND ACCEPT ALL ITS TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE WEBSITE.

This User Agreement (hereinafter referred to as the «Agreement») regulates the relations between the Limited Liability Company «Moskva — Krasnye Holmy», incorporated under the laws of the Russian Federation (PSRN: 1157746606445, TIN: 9705043183) and having its registered address at bld. 11, 52 Kosmodamianskaya Nab., Moscow, 115035, Russian Federation (hereinafter referred to as the «Company»), and any person (hereinafter referred to as the «User») visiting (using) the website available at the domain name www.mkh.ru (hereinafter referred to as the «Website»).

1. General Provisions

1.1. The Company is the owner of the Website. Under this Agreement, the Company grants the right to access and use the Website, and the User undertakes to use the Website properly within the limits established by this Agreement.

1.2. The main purpose of the Website is to provide information about the Company’s activities and facilities owned by it, and to provide marketing information.

1.3. The Website contains only information of an advertising or reference nature intended for the information of Users. For the avoidance of doubt, there are no public offers or any other offers on the Website (other than this Agreement), as well as commercial offers.

1.4. The Company may unilaterally change the terms of this Agreement without a specific notification to the User. The current version of the Agreement is always published on the Website. The User is obliged to check the current terms of the Agreement from time to time.

1.5. This Agreement does not regulate any kind of reimbursable relationship between the Company and the User.

1.6. This Agreement does not apply to the Tenants’ Portal and does not regulate relations with the tenants of the business center.

2. Intellectual Property Rights

2.1. The Company is the owner of duly executed exclusive rights and/or rights of use (licenses) in relation to the Website as a whole as a composite work, as well as all the results of intellectual activity posted on it, among other things, texts, photographs, diagrams, graphic drawings, other images, interface elements, logos, computer programs, including source texts and object codes, other objects of copyright, video, audio recordings, databases and other objects of related rights, trademarks and service marks, the Company’s brand name and commercial designations, as well as the layout and location of the objects listed above on the pages of the Website, in relation to the design of the Website, including its appearance, selection of color palette, structure and fonts (hereinafter, all these results of intellectual activity are collectively referred to as the term «Content»).

2.2. The User is obliged to respect the Company’s rights to the Website and Content and refrain from any actions that may directly or indirectly lead to a violation of the Company’s rights to the Website and Content or contribute to the commission of such violation by a third party.

3. Use of the Website and Content

3.1. Under this Agreement, the Company grants the User a non-exclusive royalty-free right (license) to use the Website and Content throughout the world in strictly the following ways:

  • To access and get acquainted with the Content by launching the Website in a browser window during the User’s Internet session;
  • To record the pages of the Website on a machine media (for example, a computer hard disk or a flash drive) or print them on paper for use for the User’s personal needs, provided that the User simultaneously complies with all the following restrictions: (i) It is prohibited to distribute copies (printouts) of the pages of the Website or their fragments, as well as multiple copying (printing) of the Website pages, unjustified by the above-mentioned purpose of their use; (ii) It is prohibited to remove, modify or hide intellectual property protection signs or notices of intellectual rights from printouts or electronic copies; (iii) It is prohibited to record and/or print pages of the Website or their fragments if they contain a notice prohibiting such actions or software tools that prevent such actions; (iv) It is prohibited to make changes or additions to the Content; (v) It is prohibited to save or print individual results of intellectual activity related to the Content without saving (printing) the page of the Website on which they are located (except for quoting, as stated below);
  • To use the functions available on the Website in accordance with their purpose, determined by the Company;
  • To quote Content to the extent justified by the legitimate purpose of quoting, provided that the Website is indicated as the source of the quote (by affixing a hyperlink).

3.2. The User is not authorized to grant sub-licenses for the rights specified in clause 3.1 of the Agreement.

3.3. The rights provided for in clause 3.1 of the Agreement are granted to the User provided that he complies with all the provisions of this Agreement. In case of violation of any of these provisions, the User’s rights to use the Website are considered terminated automatically (without special notification from the Company) from the moment of such violation.

3.4. The Company has the right, at its discretion, to terminate or restrict access to the Website by individual Users or groups of Users without specifying the reasons.

3.5. The User is prohibited from:

  • Reproduction of Content in a periodical and subsequent distribution of copies of this publication, broadcasting or cable transmission of Content and making it available to the public without the prior written permission of the Company (for the avoidance of doubt, this Agreement does not contain such permission);
  • Access to Website settings that are not intended for use by Users;
  • Performing any actions aimed at impersonating another User;
  • Using the Website and/or Content in any way not listed in clause 3.1 of the Agreement, including, but not limited to, processing, decompilation and inclusion in composite works;
  • Using the Website and/or Content in any way for commercial purposes, except in cases where the User has received prior written permission from the Company for such use (for the avoidance of doubt, this Agreement does not contain such permission);
  • Creation of phishing web resources, as well as any other web resources that are confusingly similar to the Website and/or Content;
  • Any actions with the source code of the Website;
  • Bypassing the Website navigation system and performing actions aimed at causing incorrect functioning of the Website, slowing down or hindering its operation, artificially increasing the load on servers and communication channels;
  • Bypassing antiviruses, firewalls and other security features provided by the Website and its hosting;
  • Finding and exploiting Website vulnerabilities;
  • Access to the Website using web bots, except for official search robots belonging to search engines;
  • Tracking the actions of other Users of the Website and attempts to establish their identity;
  • Performing any actions that contradict the legislation of the Russian Federation and/or the state in which the User is located;
  • Performing other actions prohibited by the terms of this Agreement; and
  • Inciting others to commit the above actions.

4. External Links

4.1. The Website may contain links to third-party web resources. The Company does its best to exclude any links to unreliable, fraudulent and other similar web resources. However, their work is not regulated by this Agreement. The Company is not responsible for the content of third-party web resources and the specifics of their operation, including for possible harm caused to Users on these web resources.

5. Violation of Intellectual Property Rights on the Website

5.1. If the User or other rightholder believes that the Company violates his intellectual rights, please inform about it using the contact details specified in clause 10.1 of this Agreement. To ensure timely response to such a possible violation, the rightholder must send a written statement (in scanned form) indicating the specific page of the Website and (or) the network address on the Internet where the Content allegedly infringing intellectual rights is posted, and with evidence of ownership of intellectual rights to the rightholder. If the statement is signed by a representative, it is necessary to additionally attach a document confirming the authority (for example, a power of attorney).

6. Disclaimer

6.1. ACCESS TO THE WEBSITE AND CONTENT IS PROVIDED TO THE USER ON AN «AS IS» BASIS. THE COMPANY HEREBY DISCLAIMS ANY WARRANTIES WITH RESPECT TO THE WEBSITE AND CONTENT. AMONG OTHER, THE COMPANY DOES NOT GUARANTEE TO THE USER THAT:

  1. THE WEBSITE DOES NOT CONTAIN SOFTWARE ERRORS, WILL WORK WITHOUT INTERRUPTIONS, IS COMPATIBLE WITH THE USER’S DEVICES AND WILL BE DISPLAYED CORRECTLY ON SUCH DEVICES;
  2. THE WEBSITE WILL BE PERMANENTLY ACCESSIBLE TO THE USER (EXCEPT FOR PAGES WITH A POLICY ON THE PROCESSING OF PERSONAL DATA ON THE INTERNET AND A POLICY ON COOKIES AND WEB ANALYTICS TOOLS);
  3. THE WEBSITE CONTAINS COMPLETE, COMPREHENSIVE, ACCURATE, ERROR-FREE AND USER-APPROPRIATE INFORMATION ABOUT THE COMPANY, ITS ACTIVITIES AND SERVICES;
  4. WHEN PRINTED OR RECORDED TO MACHINE MEDIA, THE WEBSITE PAGES WILL LOOK THE SAME AS THEY LOOK ONLINE;
  5. THE WEBSITE DOES NOT CONTAIN INFORMATION TO WHICH ACCESS IS PROHIBITED OR RESTRICTED IN THE COUNTRY OF THE USER’S LOCATION; AND
  6. THE WEBSITE DOES NOT CONTAIN INFORMATION THAT, IN THE OPINION OF THE USER, MAY BE DISCOURTEOUS OR OFFENSIVE.

6.2. WHEN USING THE WEBSITE, THE USER IS OBLIGED TO RELY ON THE ANTIVIRUS SOFTWARE, FIREWALLS AND OTHER INFORMATION SECURITY TOOLS AVAILABLE TO THE USER. THE COMPANY MAKES EVERY EFFORT TO ENSURE THE PROTECTION OF THE WEBSITE FROM HACKER ATTACKS, CYBER CRIMES AND OTHER HARMFUL AND DANGEROUS ACTIONS OF UNAUTHORIZED PERSONS FOR THE USER. HOWEVER, THE COMPANY REFUSES TO GUARANTEE THAT THIRD PARTIES WILL NOT BE ABLE TO UNLAWFULLY USE THE WEBSITE AND ITS CONTENT TO HARM THE USER.

7. Exemption Clause

7.1. THE COMPANY IS NOT RESPONSIBLE FOR ANY VIOLATION OF OBLIGATIONS UNDER THE AGREEMENT AND FOR LOSSES INCURRED BY THE USER AS A RESULT OF USING THE WEBSITE, EXCEPT IN CASES OF INTENT BY THE COMPANY. THE COMPANY IS NOT RESPONSIBLE FOR CAUSING ANY OTHER HARM TO THE USER, UNLESS IT IS CAUSED BY THE FAULT OF THE COMPANY. THE PARTIES AGREE THAT THE COMPANY IS UNDER NO CIRCUMSTANCES OBLIGED TO REIMBURSE THE USER: LOST PROFITS; TO THE MAXIMUM EXTENT POSSIBLE, ANY KIND OF INDIRECT, PUNITIVE, CONSEQUENTIAL OR OTHER DAMAGES OR DAMAGES THAT MAY BE PROVIDED FOR BY THE LAW OF THE USER’S COUNTRY OF RESIDENCE.

7.2. THE USER IS RESPONSIBLE FOR THE VIOLATION OF THIS AGREEMENT, AS WELL AS THE INTELLECTUAL AND OTHER RIGHTS OF THE COMPANY IN FULL IN ACCORDANCE WITH THE NORMS OF APPLICABLE LAW (CLAUSE 10 OF THE AGREEMENT), AS WELL AS THE NORMS OF LEGISLATION IN FORCE AT THE USER’S LOCATION (IF THE USER’S ACTIONS CONSTITUTE A CRIME OR OTHER OFFENSE UNDER THE LEGISLATION OF THIS STATE).

8. Confidentiality

8.1. The User’s personal data is confidential information and is processed in accordance with the Personal Data Processing Policy posted on the website www. mosenka. ru.

8.2. Messages sent to the Company’s e-mail are confidential information and are not subject to disclosure by the Company, except in the following cases: (i) The User who sent the Message himself requested in writing for disclosure of the Message to a third party or its publication; (ii) The Message is subject to disclosure at the instruction of a competent court, the lawful request of law enforcement agencies and other public authorities, as well as by virtue of the applicable legislation; (iii) access to the Message is provided to the Company’s contractors providing technical support and maintenance of the Company’s Website and information systems, subject to compliance with the requirements and restrictions established by the legislation of the Russian Federation.

9. Applicable Law and Dispute Resolution

9.1. This Agreement and all relations between the Parties in connection with the use of the Website are governed by the legislation of the Russian Federation.

9.2. All disputes arising from this Agreement or related to the use of the Website are subject to judicial resolution at the location of the Company.
